Currently, we are seeking to hire an experienced paralegal for the position of Senior Paralegal I – Corporate Affairs. The position is based at Kimberly-Clark’s World Headquarters in Irving, Texas.
Summary:
Senior Paralegal I – Corporate Affairs focused on SEC reporting, corporate governance, finance and other corporate law matters.

The work performed by the paralegal in this position will usually involve a high level of matters, including those that are complex and require original and creative legal initiatives. Questions may often involve financial, organizational and other areas requiring extensive knowledge of Kimberly-Clark and the ability to undertake prompt research and comprehensive analysis. The legal matters handled by this position are important to Kimberly-Clark and may involve significant sums of money and serious legal or other consequences. This position typically functions with limited oversight and makes judgments concerning when and to what extent to secure guidance from others within the legal department or from other units within Kimberly‑Clark.

Responsibilities:

  • Assist in the preparation of SEC filings (proxy statements, quarterly and annual reports and Forms 3, 4 and 5 for Section 16 reporting individuals) and related processes.
  • Assist attorneys with securities, corporate governance, finance and other corporate law matters.  Key stakeholders include the Corporate Secretary, Corporate Reporting, Corporate Development, Treasury, Finance, Tax, Executive Compensation and Investor Relations departments, the Board of Directors, senior management and other business support functions.
  • Provide support and assistance in maintaining Kimberly-Clark’s domestic and foreign subsidiaries, including creating and maintaining corporate minute books and corporate entity databases.
  • Draft routine and complex legal documents, including contracts, ancillary transactional documents, nondisclosure agreements, minutes, certifications, letters and notices.
  • Assist as needed in corporate finance transactions, including deal document and closing process management, supporting due diligence, preparation of schedules and exhibits and record-keeping.
  • Receive work direction and assignments from the corporate legal attorneys.
  • Conduct legal research, and draft and review opinion memoranda and other documents.
  • Keep informed of current laws, regulations and proposals in a variety of areas, as assigned.

Qualifications:

Basic:

  • Associate’s degree.
  • Paralegal certificate from an ABA accredited school or program.
  • A minimum of 5-7 years of paralegal experience at law firm, corporate in-house position, or governmental agency, with an emphasis on corporate law matters.
  • Must have background in corporate and securities law, SEC Filings, contracts, and corporate subsidiaries/corporate governance, with a general knowledge of litigation maintenance and employee benefits.
  • Excellent researching, writing, communicating and analyzing skills.
  • Excellent organizational and time management skills with the ability to prioritize and manage a heavy and multi-directional workload.

Preferred:

  • Undergraduate degree (bachelor’s degree or higher) earned with solid academic credentials.

o   Develops and maintains customer relationships with appropriate senior leaders and business team leaders at each of the major sites

o    Conducts business team and regional real estate  business reviews for advance planning of real estate transaction support

Scope:  The incumbent reports to the Senior Procurement Manager – Indirect. The incumbent is responsible for providing contract/agreement review, analysis, advice and negotiation services, as well as, serving in a coordination and facilitation role between Procurement and the Legal Department.  The incumbent must have a sufficient knowledge of contract management and relevant legal concepts to analyze clients’ legal problems and develop practical solutions to problems. The incumbent must be able to recognize when a particular problem extends beyond the level of contract management and requires escalation to the legal team. The incumbent must be able to communicate effectively with clients and attorneys.

  • Provide advice on achieving short term and long term objectives in conformity with applicable laws, regulations and corporate policies, including an assessment of the legal risks involved.
  • Provide prompt, consistent and accurate contract review, drafting and interpretation, negotiation of contract terms and conditions, contract administration and overall contract support.
  • Provide guidance to buyers in preparation of contractual aspects of RFPs. Review and analyze contractual elements of bids received from suppliers.
  • Develop and implement improved processes for the creation, review, and management of contracts within Procurement. Monitor compliance by both employees and outsourcing team.
  • Develop thought leadership for the strategic sourcing of the legal spend category, including outside counsel and e-discovery spend
  • Provide timely execution of supplier selection and subsequent development of pricing agreements for legal suppliers
  • Coordinate with the GPO Internal Control resource to train, enforce and interpret Internal Controls for the NA Regional Procurement team
  • Support Audit activities

Scope:  The incumbent reports to the Senior Procurement Manager – Indirect. The incumbent is responsible for providing contract/agreement review, analysis, advice and negotiation services, as well as, serving in a coordination and facilitation role between Procurement and the Legal Department.  The incumbent must have a sufficient knowledge of contract management and relevant legal concepts to analyze clients’ legal problems and develop practical solutions to problems. The incumbent must be able to recognize when a particular problem extends beyond the level of contract management and requires escalation to the legal team. The incumbent must be able to communicate effectively with clients and attorneys.

Main challenges include:

 

  • Obtaining a good understanding of the clients’ organization and business objectives and keeping informed of current legal developments that might affect the clients’ operations.
  • Providing sound, balanced advice, using common sense nd prudence in evaluating situations.
  • Ensuring compliance with Corporate policies and procedures, laws and regulations.
  • Obtaining the ability to understand business problems, to analyze issues in depth and to facilitate open and free communication with clients; analyzing and interpreting contract & business issues.
  • Using initiative in identifying issues and working under almost any condition, including emergencies, without supervision.
  • Handling routine matters with appropriate dispatch; managing multiple concurrent assignments promptly and accurately to meet scheduled deadlines.
  • Acting as a communication link between the Procurement team and the Legal
  • Department in order to coordinate and facilitate required legal review of contracts/agreements.
  • Provide Legal training to buyers so they are adequately prepared to deal with basic legal issues and to work effectively with the Procurement contract manager and/or Legal Department.

Principal Accountabilities:  Advise clients on legal requirements pertinent to their operations to assist in meeting business objectives.  Assist clients in formulating challenges and responses to vendor’s positions when appropriate, to achieve resolutions that are in the best interests of the Corporation.  Prepare, comment on, and negotiate contracts/agreements and other legal documents in support of the clients’ arrangements or transactions.  Understand and apply Corporate policies and procedures to clients’ requests for legal advice and services, as well as, related governmental laws and regulations.  Organize, implement and assist in presenting orientation and training programs for Procurement team members.  Maintain a close relationship with attorneys in the Legal Department and keep abreast of legal developments in the area of contracts.  Provide Legal training to buyers so they are adequately prepared to deal with legal issues and to work effectively with the Procurement contract manager and/or Legal Department.  Develops a thorough strategic plan to drive value for the legal category based on an understanding of business unit needs, the supply market, spend baseline and evolution and benchmarking. Effectively document, communicate and gain buy-in for the strategy.  Research, select, develop and maintain adequate sources of supply to ensure that the requirements of the category are met with the optimum quality, service and cost to use.  Be team oriented and communicate fully with superiors, peers, subordinates and others who have a need to know. Be informative without being obtrusive or vexatious. Scope:

The incumbent typically reports to a Senior Manager within Procurement and is responsible for managing assigned commodities, suppliers, and purchases to meet customer needs.  The main challenges are:

·             Responsible for procurement of assigned commodities within established policies and procedures.

·             Working with customers, develop procurement strategies for specific purchases or commodities which will best meet business needs.

·             Responsible to identify, evaluate, and select suppliers which best meet business needs.

·             Solicit, evaluate, negotiate, and award complex contracts for specific purchases (complex technical, commercial, and/or financial aspects).
