POSITION SUMMARY

Lead a team to provide specialist tax planning advice, identification and management of tax risk, and provide assistance and support to members of K-C corporate, sector and functional teams and regional management in Asia-Pacific, EMEA and Latin America to enable them to effectively conduct K-C activities with the knowledge of US federal and foreign tax laws and regulations. Lead the Corporation in the development and implementation of transfer pricing policies and procedures to provide transparency and certainty to business and to manage tax risk.

MAJOR RESPONSIBILITIES

Service Delivery

  • Identify, develop and execute tax planning opportunities that benefit cash taxes and effective tax rate (“ETR”).
  • Assist with US international tax planning, financing strategies and identification and execution of cash repatriation opportunities.
  • Partner with business units, global sector and functional teams, regional management to execute business plans, corporate initiatives, and management of IP and Licensing matters, M&A activity, etc.
  • Lead K-C’s Transfer Pricing practice involving development, implementation and maintenance of policies covering finished and semi-finished goods, contract and consignment manufacturing, commissionaires, royalties, services, interest rates, loan guarantee and other financial arrangements, fixed asset transfers and related documentation.
  • Identify tax risks by working together with US, regional and local finance and business personnel. Support local and regional finance in managing those risks where necessary through contributing resources or taking on leadership roles for tax audits and tax litigation.
  • Provide oversight and support for documentation maintenance around significant transactions, including reviewing Fin48 analysis and assisting in structuring local and regional write-ups in accordance with K-C requirements.
  • Lead the non-US side of APA negotiation, collaborate with the Consulting COE on completion of bi-lateral APA’s, and assure mutual agreement on Competent Authority resolution.
  • Cultivate long-term partnerships with other Tax COE’s, functional teams (Finance, Legal, Strategy etc.) global and regional sector teams, business units, external legal and financial service providers.

Strategy Alignment and Business Partnerships

  • Establish the vision, set strategic direction, and empower the International Tax COE to meet its objectives.
  • Align strategies and objectives and maintain strategic relationships with Global and Regional Business, Global Sector Teams, Finance leaders, Strategy, Legal, Treasury, and all other Tax COEs.

 

Talent Development

  • Attract, develop, and retain a strong team to meet current departmental needs and ensure effective succession planning to meet future needs.
  • Ensure professional and technical development of the International Tax COE members including the provision of timely coaching, candid feedback, and professional development opportunities.

MAJOR RESPONSIBILITIES

Service Delivery

  • Lead a team to develop and implement K-C’s near and long-term global tax planning and cash repatriation strategies, including idea conception and generation, to secure a competitive effective tax rate.  Perform sustainable tax planning, including assessing risks, benefits, and end of life options for all material transactions.

POSITION SUMMARY

The Assistant Treasurer, Capital Markets provides leadership and stewardship to drive and elevate Kimberly-Clark’s capital structure, financial risk, and funding decisions that best utilize financial resources for long-term growth.

 

The capital markets team is directly responsible for capital markets decisions, financial risk management including interest rates, currency, and commodity exposures, debt profile and liquidity optimization, working capital financing, and trade and structuring execution.  The team also provides strategic oversight of global pension plans, including the outsourced administration of the US Plan.

MAJOR RESPONSIBILITIES

  • Advise and execute key capital markets activities

o   Capital structure decisions including credit rating analytics, debt profile, cost of capital, covenants, financial flexibility, repatriation planning, dividend/share repurchase policies, and benchmarking

o   Forecasts of cash flow, scenarios, and metrics that drive domestic and international funding requirements, liquidity management, shareholder return strategies, and financial risk mitigation

o   Determine execution strategies to fund the company including revolver credit facility, public debt issuance, pension contribution and de-risking strategies, and working capital financing

o   Monitor and report on financial risk exposures and market activities and develop plans to manage or hedge key risks.  Primary accountability for global derivatives and currency trading strategies including counterparty management, trading, reporting, and value-at-risk used to manage currency, interest rate, and commodity risks.  Partner with In-House Bank services to execute centralization of global trading

Position Purpose:

The Corporate Reporting Senior Analyst will develop best practices, prepare, control, review, and analyze internal and external financial statements and reports across the Halyard Health global businesses.

Scope:

The Senior Analyst reports to the Corporate Reporting Team Leader. The processing of financial data occurs for monthly, quarterly and annual actual results, quarterly forecasts and annual budgets. This is done according to a fixed schedule and meeting deadlines is critical. Strict internal controls must be followed to ensure accuracy and confidentiality. Complex accounting issues and consolidated accounting require the incumbent to have in-depth knowledge of current accounting and reporting theory and practices, including FASB and SEC releases and Halyard’s Corporate Financial Instructions, as well as accuracy, timeliness and flexibility.

Principal Accountabilities:

  • Communicate fully with superiors, subordinates and others who have a need to know. Be informative and to the point. Communicate in a way that is timely complete, candid and clear.
  • Demonstrate a commitment to quality performance and provide accounting and financial reporting expertise to various reporting entities to meet their needs.
  • Assist in coordinating monthly closing schedules with worldwide reporting locations to ensure complete, timely and accurate flow of financial data necessary for corporate and other reporting requirements.
  • Assist in reviewing and consolidating financial information, to ensure that consolidated financial statements are timely, accurate and in accordance with all laws, rules, guidelines and generally accepted accounting principles.   • Perform project assignments and special reviews and analyses as required to ensure proper accounting practices and to assist management in the evaluation of the business.
  • Ensure application of established corporate financial controls by the effective implementation and maintenance of financial policies and instructions as directed by the Controller and Chief Accounting Officer, and by the establishment, maintenance and audit of effective and reliable control procedures consistent with those policies and instructions.
  • Support the Corporation’s program for strong central financial control by reporting to the Assistant Controller – Corporate Reporting whenever corporate financial policies or instructions are not being followed, or appear inappropriate, inadequate or out-of-date.

As leader of the Internal Audit Department this position will be responsible for providing strong leadership and vision, as well as management, planning and execution of all internal audit activities for Halyard. Initially, the position will manage the Internal Audit function through relationships with third party service providers. Over time, the position will be responsible for the development and training of a team of audit professionals.  This position will be expected to move the department along the internal audit continuum from their current SOX/Internal Controls focus to a future state of adding value through business partnering and consulting.  In addition, this position will be a potential succession candidate for Controller, CFO or other finance/operational leadership positions.

RESPONSIBILITIES OF POSITION:

The person hired for this position will be responsible for:

  • Developing and implementing an overall internal audit strategy and building Halyard’s internal audit capabilities. This position will manage internal resources and the co-source relationship to help execute the strategy, with the intent of creating a department that is a high-impact, well-respected audit, risk management and control monitoring function.
  • Developing and maintaining relationships with operating and executive management throughout the organization. Maintaining open lines of communication and regular interaction with the Chairperson of the Audit Committee.
  • Managing the planning, execution, documentation and reporting of all operational, financial, regulatory, compliance and technology audit activities.
  • As circumstances warrant, overseeing or participating in special investigations, risk advisory work, management requests and other ad-hoc projects.
  • Evaluating accounting practices, financial reporting and internal controls of the company.
  • Ascertaining extent of protection and safeguarding of company assets and recommend methods for improvement. Identifying potential for or instances of irregularities (e.g. fraud, abuse) or error. Reporting suspected instances of conflicts of interest and unethical conduct.
  • Identifying risks facing the organization through a comprehensive risk assessment and through interaction with business leadership at all levels of the organization.
  • Establishing standard audit practices including the development of audit plans and programs, work papers and reporting. Ensuring the quality of all audit reports for distribution to senior management and management of audited areas.
  • Preparing and delivering concise presentations to executive management and the Audit Committee of the Board of Directors, including reports on audit scope, findings, root causes and recommended action plans to prevent/minimize future control risks.
  • Monitoring management achievement of committed action plans from prior audits to ensure complete follow through and closure of identified risks.
