JOB DESCRIPTION

  • Provide sophisticated and advanced legal subject matter expertise to senior management on anti-corruption laws including the U.S. Foreign Corrupt Practices Act and other relevant practice areas
  • Design, implement, monitor and lead the global anti-corruption program and processes (Foreign Corrupt Practices Act, UK Bribery Act, etc.) including the third party and business gratuities programs
  • Stay abreast of new anti-corruption rules and regulations and trends in the industry and region; review, understand and analyze the impact to the anti-corruption compliance program
  • Develop and manage the implementation of various anti-corruption initiatives and campaigns to drive awareness and knowledge globally
  • Identify and evaluate the necessary programs, processes, and resources to maintain and improve the anti-corruption compliance program

Risk Assessment

  • Conduct periodic assessment of anti-corruption compliance risks globally and in coordination with the regional compliance leaders while developing auditing, monitoring, and oversight processes to ensure mitigation
  • Oversee the implementation of anti-corruption related corrective actions and monitoring in response to identified issues
  • Provide regular updates on the status and effectiveness of the anti-corruption compliance program key risks and mitigation activities to regional leadership and Chief Ethics & Compliance Officer in collaboration with other functions

HelpLine

  • Oversee the implementation of anti-corruption related corrective actions and monitoring in response to identified issues from HelpLine inquiries or from risk assessment mitigation plans
  • Collaborate with other K-C departments (Internal Audit, Human Resources, Global Security and Legal) to ensure that anti-corruption related reports and other indications of possible misconduct are appropriately and promptly investigated, that appropriate corrective action is taken, including enhancements to the anti-corruption program, and that the results of these investigations are accurately tracked and maintained

Training and Communications

  • Conduct an annual anti-corruption training and communication needs analysis and develop and implement an anti-corruption compliance training program across the region in collaboration with the regional compliance leaders and regional owners (HR, Communications, Legal, Finance and Internal Audit)
  • Develop anti-corruption related course content for online and in-person/classroom training courses with a specific focus on regional/local type issues
  • Collaborate with Corporate Compliance Program Office to develop and implement a regional anti-corruption communications plan and to produce regular communications on important anti-corruption compliance news, initiatives, and developments

Evaluating

  • Create, analyze and drive continuous anti-corruption program improvements based upon evaluation results from KPIs, audits or surveys in collaboration with the Corporate Compliance Program Office and other relevant K-C departments
  • Undertake strategic projects to continuously improve the efficiency and effectiveness of the anti-corruption compliance program in coordination with the regional leadership team

QUALIFICATIONS

  • 10 plus relevant years working in legal, audit, compliance, risk, and ethics focused on anti-corruption related issues and programs
  • Advanced degree (Juris doctor, Masters) or advanced compliance certifications (CCEP or equivalent) preferred

POSITION SUMMARY

MAJOR RESPONSIBILITIES

Service Delivery

  • Identify, develop and execute tax planning opportunities that benefit cash taxes and effective tax rate (“ETR”).
  • Assist with US international tax planning, financing strategies and identification and execution of cash repatriation opportunities.
  • Partner with business units, global sector and functional teams, regional management to execute business plans, corporate initiatives, and management of IP and Licensing matters, M&A activity, etc.
  • Lead K-C’s Transfer Pricing practice involving development, implementation and maintenance of policies covering finished and semi-finished goods, contract and consignment manufacturing, commissionaires, royalties, services, interest rates, loan guarantee and other financial arrangements, fixed asset transfers and related documentation.
  • Identify tax risks by working together with US, regional and local finance and business personnel. Support local and regional finance in managing those risks where necessary through contributing resources or taking on leadership roles for tax audits and tax litigation.
  • Provide oversight and support for documentation maintenance around significant transactions, including reviewing Fin48 analysis and assisting in structuring local and regional write-ups in accordance with K-C requirements.
  • Lead the non-US side of APA negotiation, collaborate with the Consulting COE on completion of bi-lateral APA’s, and assure mutual agreement on Competent Authority resolution.
  • Cultivate long-term partnerships with other Tax COE’s, functional teams (Finance, Legal, Strategy etc.) global and regional sector teams, business units, external legal and financial service providers.

Strategy Alignment and Business Partnerships

  • Establish the vision, set strategic direction, and empower the International Tax COE to meet its objectives.
  • Align strategies and objectives and maintain strategic relationships with Global and Regional Business, Global Sector Teams, Finance leaders, Strategy, Legal, Treasury, and all other Tax COEs.

The Global Procurement Organization is staffing a new role of a Global Category Manager for Recovered & Virgin Fiber. This role, reporting in to the Global Director of Fiber, will have category management responsibilities for all of Kimberly-Clark’s global purchases of Recovered Fiber and working with our regional and local buyers of Recovered Fiber to help set strategies and provide thought leadership in driving value for the enterprise for this very local/regional category. POSITION SUMMARY

The Assistant Treasurer, Capital Markets provides leadership and stewardship to drive and elevate Kimberly-Clark’s capital structure, financial risk, and funding decisions that best utilize financial resources for long-term growth.

 

The capital markets team is directly responsible for capital markets decisions, financial risk management including interest rates, currency, and commodity exposures, debt profile and liquidity optimization, working capital financing, and trade and structuring execution.  The team also provides strategic oversight of global pension plans, including the outsourced administration of the US Plan.

 

This position is considered a building block for succession to the Treasurer or other key Finance leadership roles.  The incumbent will demonstrate key K-C values/behaviors, and be accountable in inspiring and developing talent.  The incumbent will also create actionable financing plans that are aligned with enterprise strategies, build sustainable change, and provide valuable advice to senior leadership and internal and external customers.

MAJOR RESPONSIBILITIES

  • Advise and execute key capital markets activities

o   Capital structure decisions including credit rating analytics, debt profile, cost of capital, covenants, financial flexibility, repatriation planning, dividend/share repurchase policies, and benchmarking

o   Forecasts of cash flow, scenarios, and metrics that drive domestic and international funding requirements, liquidity management, shareholder return strategies, and financial risk mitigation

o   Determine execution strategies to fund the company including revolver credit facility, public debt issuance, pension contribution and de-risking strategies, and working capital financing
